No Power, wont get above 3000RPM, and a noise from below

So I have been trying to diagnose this problem. The vehicle is a 2002 Ford Explorer with a V6, I think with the newer tranny (info based on mfg. date).

The problem: It has no power trying to go up any incline and wont allow the engine to get past 3000RPM, it will downshift just the motor wont go higher than 3K.
At idle it is rough and has a noise originating from the bottom of the motor/transmission.
It does not sound like a spun bearing as far as I can tell, the noise will increase in rate with reving the motor in park, and on decel it disapears.
When in gear and not pressing on the gas the RPM's drop to what looks to be about 800rpm, as I recall it would be around 1100 before, maybe dropping into neutral?

I think that it could be the Torque converter or a spun bearing. For the torque converter theroy, well because it seems to be where the noise is originating from and the loss in up hill power.
What makes me think that it is a spun bearing, well the motor is not able to spin past 3K which might be from the knock sensor pulling timing which explains the loss of power, but I think it is the converter.

Any pushes in the right direction?
Would this make a good replacment for the converter?
