There is really no difference between the KKM and the KN FIPK other than price. The KN FIPK generation II does come with a new intake tube and "heat shield", but these don't really help.
The reason KN products are expensive is because they are emissions certified. The KKM kit isn't. To have piece of mind, you can put a KN sticker on your KKM and they won't know the difference
Since you have a '97 also, you should have the conical filter airbox like I do. Pop out the snorkel and cut a large hole in the bottom of the airbox. Put in a K&N replacement filter and you have the same intake as a KKM and K&N for a lot less money. Plus you can pop the snorkel back in if you need to take it in for dealer service and they will never notice you modded it because the hole is on the bottom.
I have a '97 and have the box with the drop in filter. I went to have to the K&N round filter, but wasn't going to spend the $200 or so. Now I just found out that the whole kit from KKM is only $90. ARRGH. I spent the $40 on the K&N drop in!

as far as hiding it for warranty reasons, i don't think it's necessary. Cold air intakes are not classified as parts that could cause engine or drivetrain damage. I found this out at my local dealer when checking to see if they would void my warranty if i changed a few things. Then i realized it didn't mean a thing to me because saleen xtras are only warrantied to 12,000 and ford on a saleen it till 36,000. They told me that if there is a problem, they will bring in a specialist to see if what you did caused the problem.
