i believe there were 2 engines in second generation, there is a 4.0 ohv and 4.0 sohc. so the answer is no but yes depending on what engine you are getting from the 98, because all of the 3rd generations were 4.0 sohc
if the 98 engine is an 4.0 sohc engine, you can strip it down to the block and transfer your stuff from the 02 and you will be fine, I would replace the timing chain tensioners

no the intake,injectors,exhaust,ect will all be different, you have to strip it down to the block and swap over the orginal part on to the donar engine.

its the same changes you would make with a Mustang 4.0 for the swap. It needs the plenum, fuel rail, injectors, valve covers, fly wheel(optional), thermostat housing, exhaust manifolds and misc parts. Not hard to do at all. I like the mustang option because you can buy a lower mile engine for less money. I did a 52k motor out of an 07 Mustang for $800 and runs like a top.
