Ticking under the hood

Hello friends, my Ford is ticking when I start it. When my engine warms up it goes away. So it is not a main or rod bearing knock. I think it might be associated with my valve train but I’m not sure. Is it some thing I really need to be worried about, is it a sign of problems to come, do I need to rebuild anything or adjust anything? I have a 93 sport with the 4.0-liter and a 5 speed trans, my mileage is pretty high around 120,000. Also my tranny is acting funny, I think my syncros are damaged. When shifting out of second into third it grinds a little. Yes I am pushing the clutch all the way in, and there is new fluid in the tranny (ATF).
