Hello all - as an update- the O/D OFF light is now gone.
Turns out it was the valve body.
But it took forever to get it fixed. What the local shop did, under the direction of RoadMaster, was:
1) do a diagnosis of all electronics - no problem found
2) replaced the TCC solenoid - didnt fix the problem
3) replaced the torque-converter - didnt fix the problem
4) and finally replaced the valve body - FIXed the problem
Of course between each number is about a week or so because the parts had to come from Illinois (where RoadMaster is located) and also install time. After each part was installed, i test drove the vehicle between 30 mins and 1.5 hrs. After the valve body was replaced, i test drove it for about 2.5 hours driving from northern VA to the MD-PA border and back - no lights came on so i was happy.
I just want to thank everyone for their contributions and thoughts - I've learned PLENTY.
